Welcome to Tenders AIHub! These Terms of Use ("Terms," "Agreement") govern your access to and use of the website at https://tenders-aihub.com/ and all associated software, features, APIs, AI tools, and procurement services (collectively, the "Service") provided by Tenders AIHub ("we," "our," or "us").

By registering for an account, accessing, or using the Service, you ("User," "Client," or "Organization") agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Eligibility and Account Registration

To use Tenders AIHub, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction.
• Register for an account using accurate, current, and complete corporate information.
• Maintain the confidentiality and security of your account credentials. You are responsible for all activities that occur under your account.
• Promptly notify us of any unauthorized access, security breach, or compromised credentials.

2. Description of Service and AI Credits

Tenders AIHub provides an enterprise SaaS platform designed for procurement management, RFP drafting, proposal generation, vendor evaluation, and team collaboration.

A. Subscription and AI Credit Usage

• Access to certain features, tools, and automated AI models is provided on a subscription basis and/or through the allocation and consumption of AI Credits.
• AI Credits are deducted as you process documents, generate bids, perform AI evaluations, or enhance proposal content.
• AI Credits are non-transferable, non-refundable, and reset or expire according to your specific subscription plan unless explicitly stated otherwise.

B. Service Modifications

We reserve the right to modify, update, or discontinue features or aspects of the Service to improve performance, add capabilities, or comply with security and legal requirements.

3. User Content and Proprietary Data

A. Ownership of Your Data

You retain full ownership of all documents, RFPs, bids, files, evaluation datasets, graphics, and text uploaded, submitted, or processed through the Service ("Customer Data"). We claim no ownership over your Customer Data.

B. License to Host Customer Data

You grant Tenders AIHub a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, format, and process Customer Data solely as necessary to provide, secure, and maintain the Service for you and your team.

C. AI Model Training Protection

We do not use your confidential Customer Data, proprietary RFPs, or competitive bid details to train, fine-tune, or improve public, base, or third-party artificial intelligence models.

4. Acceptable Use and Restrictions

You agree not to use Tenders AIHub to:

• Violate any applicable local, state, national, or international procurement laws, regulations, or anti-corruption laws.
• Upload, post, or transmit any illegal, fraudulent, defamatory, infringing, or harmful content.
• Attempt to reverse-engineer, decompile, extract source code, or bypass system security and authentication controls of the Service.
• Use automated bots, scrapers, or scripts to extract data from the platform without explicit authorization.
• Share access or account credentials across unauthorized third parties outside your designated organization subscription.
• Submit false, deceptive, or misleading bid submissions or procurement documents.

5. Third-Party Integrations and Processing

The Service may interface with or utilize third-party hosting, payment gateways, vector storage, and AI processing providers. Your use of third-party integrations may be governed by their respective terms. Tenders AIHub is not responsible for the availability, performance, or privacy practices of independent third-party services outside our direct control.

6. Intellectual Property Rights

Tenders AIHub and its licensors retain all rights, title, and interest in and to the platform, software architecture, UI design, branding, logos, trademarks, algorithms, and technical documentation. Except for the explicit rights granted under these Terms, no rights or licenses are granted to you by implication or otherwise.

7. Payments, Billing, and Cancellations

• Fees: You agree to pay all applicable subscription fees and purchase AI Credit top-ups as selected during checkout or outlined in your custom enterprise agreement.
• Billing Cycle: Recurring subscriptions auto-renew at the end of each billing period unless cancelled prior to the renewal date.
• Refunds: All fees, subscription payments, and AI Credit purchases are non-refundable except where required by law or explicitly stated in a signed master service agreement.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TENDERS AIHUB DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WHILE OUR AI TOOLS ASSIST IN DRAFTING, SCORING, AND EVALUATING PROCUREMENT DOCUMENTS, YOU ACKNOWLEDGE THAT AI-GENERATED OUTPUTS ARE FOR INFORMATIONAL AND ASSISTIVE PURPOSES ONLY. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND VALIDATING ALL AI OUTPUTS BEFORE SUBMITTING BIDS OR AWARDING CONTRACTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TENDERS AIHUB, ITS AFFILIATES, OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, CONTRACTS, OR PROCUREMENT OPPORTUNITIES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

TENDERS AIHUB'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TENDERS AIHUB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Tenders AIHub, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your Customer Data, your violation of these Terms, or your misuse of the Service.

11. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, if you breach these Terms or engage in fraudulent or illegal activity. Upon termination, your right to use the Service immediately ceases, and you may request export of your Customer Data within thirty (30) days.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tenders AIHub operates, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts of that jurisdiction.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page or via direct email communication. Continued use of the Service after any changes constitutes acceptance of the new Terms.
